MakeKit Terms of Service

1. Agreement to Terms

By downloading, installing, or using MakeKit ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you and Tacteon LLC ("Company," "we," "us," or "our").

2. Description of Service

MakeKit is a mobile application that provides:

• List creation and management
• Inventory tracking
• Cloud synchronization across devices
• List sharing with other users
• Guide import features (Pro)

3. Account Registration

To access certain features, you may create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You may also use the App in "local mode" without creating an account, with limited functionality.

4. Subscriptions and Payments

4.1 MakeKit Pro

MakeKit Pro is available as a subscription service with additional features. Subscriptions are billed through Apple's App Store.

4.2 Billing

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your App Store account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your App Store account settings

4.3 Refunds

Refund requests are handled by Apple according to their App Store policies. We do not process refunds directly.

5. Acceptable Use

You agree NOT to:

• Use the App for any illegal purpose
• Share content that is harmful, offensive, or violates others' rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Reverse engineer or attempt to extract the source code
• Use automated systems to access the App
• Impersonate others or misrepresent your affiliation

6. User Content

You retain ownership of content you create in the App (lists, inventory items, guides, etc.).

By using the App, you grant us a license to:

• Store and process your content to provide the service
• Share your content with users you explicitly choose to share with
• Create anonymized, aggregated data for service improvement

You are responsible for ensuring you have the right to use any content you import or create.

7. Intellectual Property

The App, including its design, features, and content (excluding user content), is owned by Tacteon LLC and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

8. Third-Party Services

The App may integrate with third-party services:

• Apple App Store: For app distribution and in-app purchases
• Amazon Web Services: For cloud hosting and data storage
• AI Services: For content parsing (Pro feature)

Your use of these services is subject to their respective terms and privacy policies.

9. Disclaimers

We do not warrant that:

• The App will be uninterrupted or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• The results of using the App will meet your requirements

MakeKit is a tool to help organize lists and inventory. We are not responsible for:

• Accuracy of imported content
• Decisions made based on information in the app
• Loss of data due to device failure or user error

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACTEON LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Damages exceeding the amount you paid us in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless Tacteon LLC from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the App at any time for:

• Violation of these Terms
• Conduct harmful to other users or the service
• Extended period of inactivity

You may terminate your account at any time through the Account Settings in the App.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through:

• In-app notifications
• Email (if you have an account)
• Updating the "Last Updated" date

Continued use of the App after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Delaware, and you consent to personal jurisdiction in such courts.
